Terms of Service

Effective October 24, 2026 · Version 2026-10-24

The short version (the full terms below are what count):

  • BreezyCollab is a software tool. We are not a party to any deal, agreement, payment or dispute between creators and brands.
  • Creators and brands are fully responsible for their own deals, content, payments, taxes, ad disclosures and legal compliance.
  • The service is provided "as is". Stats, metrics, estimates and templates may be wrong or incomplete and are not professional advice.
  • Our liability is limited to the fullest extent the law allows, and you agree to cover us for claims caused by your use or your deals.
  • Disputes with us are resolved by individual binding arbitration, not in court or class actions, unless you opt out within 30 days (Section 14).

1. Agreement to these terms

These Terms of Service ("Terms") are a binding agreement between you and BreezyCollab ("BreezyCollab," "we," "us"). They govern your use of breezycollab.com, our deal rooms, proof pages, campaigns, tracking links, scripts, emails and every other part of our service (the "Service"). You accept these Terms by ticking the agreement box when you sign up or are asked to re-accept, by accepting an agreement, reviewing content or marking a payment in a deal room, or by otherwise using the Service. If you don't agree, don't use the Service.

If you use the Service for a company or brand, you confirm you're authorized to bind it, and "you" includes that company. You must be at least 18 and able to form a binding contract. The Service is meant for business and professional use.

2. What BreezyCollab is, and isn't

  • A tool, not a party. We provide software that helps creators and brands organize collaborations. Any agreement, deal, campaign, content license, payment or other arrangement made through the Service is solely between the creator and the brand. BreezyCollab is not a party to it, does not guarantee it, and has no obligation to enforce it.
  • No agency or employment. We are not an agent, talent agency, broker, employer, staffing company, escrow agent, payment processor, publisher or advertiser for anyone. Nothing in the Service creates a partnership, joint venture, employment or agency relationship between us and any user.
  • We don't vet users. We don't verify the identity, honesty, audience, creditworthiness, products or claims of creators or brands. Badges such as "Verified via YouTube" only mean a technical check passed at a point in time. They are not an endorsement or guarantee.
  • Templates, not advice. Agreement templates, invoices, rate suggestions, benchmarks and other content are generic tools, not legal, tax, financial or professional advice. You are responsible for deciding whether they suit your situation and for getting your own advice.
  • No payment handling. We don't hold, send, receive or guarantee money. Brands pay creators directly. "Mark payment as sent" and similar features are records the users make themselves.

3. Your account

Give accurate information, keep your password secure, and tell us promptly about any unauthorized use. You're responsible for everything that happens under your account and through deal links you share. Anyone who has a deal room link can view that deal room, so share links carefully. We may refuse, suspend or reclaim accounts, handles and links at our discretion, including for inactivity, impersonation or breach of these Terms.

4. Your responsibilities as a creator or brand

  • Your deals. You alone are responsible for negotiating, agreeing to, performing, paying for and enforcing your collaborations, including content quality, deadlines, usage rights, exclusivity, cancellations and refunds.
  • Laws and platform rules. You must follow all laws and rules that apply to you, including advertising and endorsement disclosure rules (such as the FTC Endorsement Guides in the US and ASCI guidelines in India), consumer protection, privacy, intellectual property, tax and the terms of every social platform you post on.
  • Taxes. You're responsible for all taxes, invoices, tax IDs, withholding and reporting connected with your deals.
  • Accurate information. Self-reported stats, rates, sales, metrics and business details must be honest and not misleading.
  • Brands' products and claims. Brands are solely responsible for their products, services, landing pages, offers, promo codes and any claims they ask creators to make.
  • Tracking on your website. If you add our tracking script or links to a website, you are responsible for giving any notices and getting any consents required by privacy laws for that website and its visitors.

5. Content and licenses

You keep ownership of the content you upload or post (profiles, drafts, videos, captions, messages, logos and so on) ("Your Content"). You give BreezyCollab a worldwide, non-exclusive, royalty-free license to host, store, copy, process, display and transmit Your Content as needed to run, secure and improve the Service. That includes showing it to the people you share links with, and showing public proof-page content publicly. You confirm you have all rights needed for Your Content and that it doesn't infringe anyone's rights or break any law. We may remove any content at our discretion. We don't pre-screen content and aren't responsible for it.

If you believe content on the Service infringes your copyright, email hello@breezycollab.com with the details required by the U.S. Digital Millennium Copyright Act. We may remove content and terminate repeat infringers.

6. Acceptable use

Don't: break the law; infringe rights; post false, deceptive or harmful content; harass anyone; spam; impersonate others; misrepresent stats or results; manipulate clicks, views, sales or tracking; upload malware; scrape, copy or resell the Service; probe or bypass security; access other people's data; overload our systems; or use the Service to build a competing product.

7. Third-party services

The Service relies on third parties such as YouTube API Services, social platforms, email providers and hosting. We aren't responsible for their availability, accuracy, data, changes or actions. Using our YouTube features means you also agree to the YouTube Terms of Service, and Google's handling of data is described in the Google Privacy Policy. Links to third-party sites are for convenience only.

8. Fees and changes to the Service

The Service is currently free during early access. We may introduce paid features with notice. We may change, suspend or discontinue any part of the Service at any time. We'll try to give reasonable notice of major changes, but we aren't liable for them.

9. Privacy

Our Privacy Policy explains how we handle personal information and is part of these Terms.

10. Disclaimer of warranties

To the fullest extent permitted by law, the Service and everything on it (including stats, metrics, verification badges, tracking data, estimates, benchmarks, rate suggestions, templates and agreements) are provided "as is" and "as available", without warranties of any kind, express or implied, including merchantability, fitness for a particular purpose, title, non-infringement, accuracy and uninterrupted or error-free operation. We do not warrant that any data is correct or complete, that any user will perform or pay, that any deal or campaign will achieve any result, or that the Service is secure or free of loss. You use the Service at your own risk.

11. Limitation of liability

To the fullest extent permitted by law: (a) BreezyCollab and its owners, employees, contractors and suppliers will not be liable for any indirect, incidental, special, consequential, exemplary or punitive damages, or for any lost profits, revenue, income, deals, sponsorships, data, goodwill or reputation, however caused and under any theory of liability, even if advised of the possibility; (b) we are not liable for anything done or not done by any creator, brand or other third party, including non-payment, non-delivery, breach of a deal, content, claims, infringement or disclosure failures; and (c) our total liability for all claims relating to the Service or these Terms will not exceed the greater of US$100 or the amount you paid us in the 12 months before the claim arose.

Some laws don't allow certain warranties or liabilities to be excluded or limited. Nothing in these Terms excludes or limits liability that cannot be excluded or limited by law (for example, under California Civil Code §1668, liability for our own fraud, willful injury or violation of law). In those cases our liability is limited to the smallest amount the law allows.

12. Disputes between users and release

Disputes about deals, content, payments or anything else between creators, brands or other users are solely between those users. We may, but don't have to, help. To the fullest extent permitted by law, you release BreezyCollab and its owners, employees, contractors and suppliers from all claims, demands and damages (known and unknown) arising out of or connected with any dispute you have with another user or third party.

If you are a California resident, you waive California Civil Code §1542, which says: "A general release does not extend to claims that the creditor or releasing party does not know or suspect to exist in his or her favor at the time of executing the release and that, if known by him or her, would have materially affected his or her settlement with the debtor or released party." Residents of other places waive any similar laws.

13. Indemnity

To the fullest extent permitted by law, you will defend, indemnify and hold harmless BreezyCollab and its owners, employees, contractors and suppliers from and against all claims, losses, damages, liabilities, penalties, costs and expenses (including reasonable legal fees) arising out of or related to: your use of the Service; Your Content; your deals, campaigns, products, offers, payments, taxes or disclosures; your website and tracking practices; your breach of these Terms; or your violation of any law or third-party right. We may take control of the defense of any claim at your expense, and you will cooperate with us.

14. Arbitration agreement and class action waiver

Please read this section carefully. It requires you to resolve disputes with BreezyCollab through individual binding arbitration and limits how you can seek relief from us. You and BreezyCollab each waive the right to a jury trial and to participate in a class action.

  • Talk to us first. Before starting any claim, send a written description to hello@breezycollab.com and give us 60 days to try to resolve it informally.
  • Binding arbitration. Any dispute, claim or controversy between you and BreezyCollab arising out of or relating to the Service or these Terms (including whether this section applies) will be resolved by binding individual arbitration administered by the American Arbitration Association under its Consumer Arbitration Rules (or Commercial Rules if you use the Service as a business). The Federal Arbitration Act governs this section. The arbitration will be held by video or phone where possible, otherwise in the county where you live or another location we agree on.
  • Exceptions. Either party may bring an individual claim in small claims court if it qualifies, and either party may seek court relief for infringement or misuse of intellectual property.
  • No class or group actions. Claims may be brought only on an individual basis, not as a plaintiff or class member in any class, collective, consolidated or representative proceeding, and the arbitrator may not consolidate claims or award class-wide relief.
  • Public injunctive relief. If you seek public injunctive relief that a court decides cannot be waived or decided in arbitration under applicable law, that request will be decided by a court only after all other claims are resolved in arbitration, and it is severed from the rest of this section.
  • Mass filings. If 25 or more similar demands are filed by or with the help of the same law firm or organization, they may be administered in batches under the AAA's mass arbitration procedures.
  • Opt-out. You can opt out of this arbitration agreement within 30 days of first accepting these Terms by emailing hello@breezycollab.com with the subject "Arbitration opt-out" and your name and account email.
  • Severability. If the class action waiver is found unenforceable for a claim, that claim (and only that claim) will proceed in court, not arbitration.

15. Time limit for claims

To the fullest extent permitted by law, any claim against BreezyCollab must be filed within one year after it arose, or it is permanently barred.

16. Governing law and venue

These Terms are governed by the laws of the State of California and applicable U.S. federal law, without regard to conflict-of-law rules. Subject to Section 14, the state and federal courts located in California have exclusive jurisdiction, and you consent to their personal jurisdiction.

17. Suspension and termination

You can stop using the Service and delete your account at any time. We may suspend or terminate your access, or remove content, at any time and for any reason, including breach of these Terms, risk to other users or legal requirements, without liability. Sections that by their nature should survive (including 2, 4, 5, 10 to 16 and 19) survive termination.

18. Changes to these Terms

We may update these Terms. If we make material changes, we'll post the new version with a new effective date and ask signed-in users to accept it before continuing. If you don't accept, you must stop using the Service. Continued use of public parts of the Service (like deal room links) after an update means you accept the updated Terms.

19. General

  • Entire agreement. These Terms and the Privacy Policy are the entire agreement between you and BreezyCollab about the Service. Agreements you make with other users are separate and don't bind us.
  • Severability. If any provision is found unenforceable, it will be enforced to the maximum extent possible and the rest of these Terms stay in effect.
  • No waiver. Our failure to enforce a provision isn't a waiver.
  • Assignment. You may not transfer these Terms without our written consent. We may assign them, including in connection with a merger, sale or reorganization (for example, to a company we form to run BreezyCollab).
  • Force majeure. We aren't liable for delays or failures caused by events beyond our reasonable control.
  • Notices. We may give notices by email to your account address or on the Service. You can reach us at hello@breezycollab.com.
